Several established firms quote on request. Check that the fee covers the Annual Return (NAR1) and its HK$105 filing fee, the significant controllers register and a registered address, and confirm the provider’s TCSP licence on the Companies Registry register. This guide compares 9 firms, VIVOS included, A–Z.

Written by the VIVOS Hong Kong team (VIVOS Corporate Services (HK) Ltd, Business Registration No. 80545137). VIVOS is one of the 9 firms compared. Firms are listed A–Z, not ranked, and no firm paid to be included. Facts come from each firm’s own Hong Kong website and official sources, checked on 16 October 2026.

Key fact

Detail

Company secretary

Required for every Hong Kong company (Companies Ordinance, Cap. 622, s474)

Who can act

An individual ordinarily resident in Hong Kong, or a body corporate with a registered office or place of business in Hong Kong

Sole director

In a private company with one director, that director cannot also be the secretary

Annual Return (NAR1)

Within 42 days after each anniversary of incorporation; HK$105 if on time

Late Annual Return

HK$870 to HK$3,480, depending on how late

AGM

Within 9 months after the end of the accounting reference period, unless dispensed with

TCSP licence

Required since 1 March 2018 for company secretarial and registered address businesses

Business Registration

HK$2,350 for a one-year certificate from 1 April 2026 (HK$2,200 fee plus HK$150 levy)

What the Companies Ordinance requires

Every Hong Kong company must have a company secretary. An individual secretary must ordinarily reside in Hong Kong, and a corporate secretary must have its registered office or a place of business in Hong Kong. In a private company with a single director, that director cannot also be the secretary, and nor can a company whose sole director is that same person.

If a company has no secretary, the Registrar can direct it to appoint one; ignoring the direction is an offence with a level 6 fine plus HK$2,000 a day. A change of secretary is filed on Form ND2A within 15 days.

Annual Return and AGM deadlines

A private company files its Annual Return (NAR1) within 42 days after each anniversary of its incorporation. The fee is HK$105 on time. Late fees rise with the delay, and the Registrar cannot extend the deadline or waive them:

Filed

Fee

Within 42 days

HK$105

After 42 days, up to 3 months late

HK$870

More than 3 and up to 6 months late

HK$1,740

More than 6 and up to 9 months late

HK$2,610

More than 9 months late

HK$3,480

Late delivery is also an offence, with a fine of up to HK$50,000 plus HK$1,000 a day.

A private company holds its AGM within 9 months after the end of its accounting reference period. It does not need one if everything an AGM would do is done by written resolution, if it has a single member, or if it is dormant. Members can also dispense with AGMs by a unanimous resolution, filed with the Registrar within 15 days.

Significant controllers register and TCSP licensing

Non-listed Hong Kong companies must keep a significant controllers register in Hong Kong, open to law enforcement officers, and appoint a designated representative. Failing to do so is punishable by a level 4 fine (HK$25,000) plus HK$700 a day.

Since 1 March 2018, anyone carrying on a trust or company service business in Hong Kong, including acting as company secretary or providing a registered office, needs a TCSP licence from the Registrar of Companies. Operating without one carries a fine of HK$100,000 and six months’ imprisonment. Licences normally run for three years, and you can search any provider by name or licence number on the Companies Registry’s free TCSP register.

Quick comparison

Fees are the lowest each firm publishes for its Hong Kong company secretary service, as at 16 October 2026.
