Dubai Company Hong Kong Parent: What the UAE Side Must Get Right in 2026
A Dubai company with a Hong Kong parent pays dividends with nothing withheld: the United Arab Emirates’ withholding tax rate is 0%. In 2026 UAE corporate tax is 0% up to AED 375,000 of taxable income, then 9%, with the return due 9 months after the tax period. Qualifying free zone persons can pay 0% on qualifying income.
Key facts for a Dubai company Hong Kong parent structure (as of October 2026)
- The UAE’s withholding tax rate is 0%, so dividends, interest and royalties a Dubai company pays to its Hong Kong parent leave the UAE in full (UAE Corporate Tax Law, Art 45).
- UAE corporate tax is 0% on taxable income up to AED 375,000 and 9% above (UAE Corporate Tax Law, Art 3; Cabinet Resolution No. 116 of 2022).
- A qualifying free zone person pays 0% on qualifying income and 9% on other income if it meets the conditions, including adequate substance in the UAE (UAE Corporate Tax Law, Arts 3(2) and 18(1)).
- The UAE corporate tax return is due within 9 months after the tax period ends: 30 September 2026 for a financial year ended 31 December 2025 (Corporate Tax Law, Art 53(1); FTA).
- Economic substance notifications and reports are not required for financial years ending after 31 December 2022 (Cabinet Decision No. 98 of 2024; UAE Ministry of Finance).

What withholding applies in a Dubai company Hong Kong parent structure?
None on the UAE side. The UAE’s withholding tax rate is 0% (Corporate Tax Law, Article 45, checked 6 October 2026), so dividends, interest or royalties paid to the Hong Kong parent leave the UAE without deduction.
Withholding tax is tax deducted at source by the payer. The Hong Kong-UAE treaty’s 5% caps add nothing on this side; they matter only when the Hong Kong company pays the Dubai company.
How much corporate tax does the Dubai subsidiary pay?
0% on taxable income up to AED 375,000 and 9% above (Corporate Tax Law, Article 3; Cabinet Resolution No. 116 of 2022).
On AED 1,000,000 of taxable income that is AED 56,250: nothing on the first AED 375,000 and 9% of the remaining AED 625,000, an effective 5.6%. That figure is also what the Hong Kong parent can credit if it relies on the participation route.
Does a free zone company change the picture?
It can take the UAE bill to 0%. A qualifying free zone person (QFZP), a free zone company that meets the statutory conditions, pays 0% on qualifying income and 9% on other income.
The conditions are adequate substance in the UAE, qualifying income, no election out of the regime, compliance with transfer pricing rules and any conditions set by the Minister (Articles 3(2) and 18(1); UAE Ministry of Finance).
For a Hong Kong group, low UAE tax cuts both ways. Under Hong Kong’s foreign-sourced income exemption (FSIE) regime, which taxes foreign dividends received in Hong Kong by members of multinational groups unless an exception applies, the participation exemption needs a headline rate of 15% or more; at the UAE’s 9% it gives only a credit for UAE tax paid (Hong Kong IRD). The less the Dubai company pays, the more its parent relies on substance in Hong Kong, covered in the Hong Kong parent’s FSIE substance checklist.
When is the Dubai company’s corporate tax return due?
Within 9 months after the end of its tax period (Article 53(1)): for a financial year ended 31 December 2025, 30 September 2026 (FTA, checked 6 October 2026).
Economic substance notifications and reports are no longer required for financial years ending after 31 December 2022 (Cabinet Decision No. 98 of 2024; UAE Ministry of Finance), but the free zone substance condition still applies.
What does the Dubai company need to claim Hong Kong treaty rates?
It must be the beneficial owner of the interest or royalties, resident in the UAE, without a permanent establishment in Hong Kong that the income is connected to.
When the Hong Kong company pays it interest or royalties, the Hong Kong-UAE agreement, in force since 10 December 2015 (IRD), caps tax at source at 5% of the gross amount (Articles 11(2) and 12(2)), and Hong Kong can tax royalties paid to non-residents (IRD, Profits Tax, checked 7 October 2026). The caps do not apply where the income is effectively connected with a permanent establishment, a fixed place of business, in Hong Kong (Articles 11(5) and 12(4), IRD synthesised text, checked 7 October 2026).
Nothing in the treaty requires a particular certificate: Articles 11(2) and 12(2) leave the mode of application of the 5% limit to the competent authorities. Expect the Hong Kong payer to want evidence of UAE residence before it applies the cap.
What should the Dubai company keep for its Hong Kong parent?
The corporate tax return, proof of tax paid and the financial statements behind each dividend. They show what the Hong Kong parent can credit if it relies on participation, and support its own FSIE return.
Frequently asked questions
Does a Dubai company withhold tax on dividends paid to its Hong Kong parent?
No. The UAE’s withholding tax rate is 0% under Article 45 of the Corporate Tax Law, so dividends, interest and royalties paid by a Dubai company to its Hong Kong parent leave the UAE in full. Whether the dividend is then taxed in Hong Kong depends on whether the parent meets Hong Kong’s FSIE economic substance or participation requirement.
What corporate tax rate applies to the Dubai subsidiary of a Hong Kong company?
0% on taxable income up to AED 375,000 and 9% above, under Article 3 of the Corporate Tax Law and Cabinet Resolution No. 116 of 2022. A qualifying free zone person pays 0% on qualifying income and 9% on other income, provided it meets the conditions, including adequate substance in the UAE, qualifying income and transfer pricing compliance.
When is the UAE corporate tax return due for a Dubai company?
Within 9 months after the end of the tax period, under Article 53(1) of the Corporate Tax Law: for a financial year ended 31 December 2025, the deadline is 30 September 2026 (FTA). Separate economic substance notifications and reports are no longer required for financial years ending after 31 December 2022 (Cabinet Decision No. 98 of 2024).
How does a Dubai company claim the Hong Kong-UAE treaty’s 5% cap on royalties?
The cap in Article 12(2) applies where the Dubai company is the beneficial owner of the royalties and they are not connected to a permanent establishment it has in Hong Kong. The treaty text does not mention a certificate of residence and leaves the mode of application to the tax authorities, so expect to evidence UAE residence before the Hong Kong payer applies 5%.
