Dubai Company with a Singapore Parent: What the UAE Side Must Get Right (2026)

By Ray Tay · Published

In 2026, a Dubai company with a Singapore parent pays United Arab Emirates (UAE) corporate tax of 0% on the first AED 375,000 of taxable income and 9% above (0% on qualifying income for a qualifying free zone person with adequate substance), files its return within 9 months of its tax period end, and withholds 0% on dividends to Singapore. It no longer files economic substance reports for financial years ending after 31 December 2022, and its UAE tax bill sets the size of the credit its Singapore parent can claim when Dubai dividends reach Singapore.

Key facts (as of October 2026)

  • UAE corporate tax is 0% on taxable income up to AED 375,000 and 9% above, as of October 2026 (Federal Decree-Law No. 47 of 2022, Art 3(1); Cabinet Resolution No. 116 of 2022).
  • A UAE qualifying free zone person pays 0% on qualifying income and 9% on other income, with adequate substance in the UAE among the conditions (UAE Corporate Tax Law Arts 3(2) and 18(1)).
  • A UAE corporate tax return is due within 9 months after the tax period ends; for a financial year ended 31 December 2025 the deadline was 30 September 2026 (UAE Corporate Tax Law Art 53(1); Federal Tax Authority).
  • UAE economic substance notifications and reports are not required for financial years ending after 31 December 2022 (Cabinet Decision No. 98 of 2024; UAE Ministry of Finance, 14 October 2024).
  • The UAE withholds 0% on dividends and interest a Dubai company pays its Singapore parent (UAE Corporate Tax Law Art 45(1)); Singapore tax on royalties paid to the Dubai company is capped at 5% where it is the beneficial owner (Singapore-UAE DTA Art 12(2)).

The 84-second explainer: Singapore Company, Dubai Company: Are the Dividends Tax-Free? (2026).

Which corporate tax rate applies to a Dubai company with a Singapore parent?

The regular UAE rates: 0% on taxable income up to AED 375,000 and 9% above (UAE Corporate Tax Law, Federal Decree-Law No. 47 of 2022, Art 3(1); Cabinet Resolution No. 116 of 2022; checked 6 October 2026). Worked through, AED 1,000,000 of taxable income leaves AED 625,000 above the threshold, and 9% of that is AED 56,250 of UAE tax.

Can a free zone company pay 0%?

Yes, on qualifying income, if it is a qualifying free zone person (QFZP); other income is taxed at 9% (CT Law Art 3(2) and Art 18(1); UAE Ministry of Finance). A QFZP is a free zone company that meets the Article 18 conditions: it keeps adequate substance in the UAE, earns qualifying income, has not elected to be taxed at the regular rates, complies with transfer pricing rules and meets any further conditions set by the Minister.

Substance is the condition to plan for first: decide early what the Dubai company actually does in the UAE, and keep the records that show it.

When is the corporate tax return due?

Within nine months after the end of the tax period (CT Law Art 53(1)). For a financial year ended 31 December 2025, the Federal Tax Authority’s deadline was 30 September 2026 (FTA). The Singapore parent files its own Form C-S or Form C, the Singapore corporate income tax return, with IRAS by 30 November (IRAS), so keep both dates on one calendar.

Does the Dubai company still file economic substance reports?

No, for financial years ending after 31 December 2022: Cabinet Decision No. 98 of 2024 removed economic substance regulation (ESR) notifications and reports for those years (UAE Ministry of Finance, 14 October 2024). The cut-off follows the financial year end: a year ending 31 March 2023 is already out of scope.

What does the Singapore-UAE treaty require of the Dubai company?

UAE tax residence and, for royalties, beneficial ownership. Under the Singapore-UAE double tax agreement (DTA), the treaty that allocates taxing rights between the two countries, a resident is a company resident in the UAE under UAE tax law (Art 4(1)). When the Singapore parent pays it interest, the interest is taxable only in the UAE (Art 11(1), as replaced by the Second Protocol); royalties are capped at 5% of the gross amount where the Dubai company is the beneficial owner (Art 12(2)) (IRAS treaty text).

Neither rule applies to income effectively connected with a permanent establishment, broadly a fixed place of business, that the Dubai company has in Singapore (Arts 11(3) and 12(5)). Article 27A, added through the Multilateral Instrument (MLI), denies treaty benefits where obtaining them was one of the principal purposes of an arrangement (checked 7 October 2026). The treaty sets no paperwork, but holding a current UAE tax residency certificate is a sensible precaution. Going the other way, the UAE’s withholding tax rate is 0% (CT Law Art 45(1)).

Why does the Dubai tax bill matter to the Singapore parent?

Because it sets the size of the Singapore credit. Singapore’s main exemption for foreign dividends needs a headline tax rate of at least 15% (IRAS); the UAE’s is 9%, and IRAS does not count the UAE’s 15% top-up tax toward it (IRAS section 13(12) e-Tax Guide, para 8.2). So Singapore credits UAE tax under Article 23(3) of the treaty instead, including tax on the profits behind the dividend. A Dubai company paying 0% leaves little to credit. The dividend tax checklist for the Singapore parent covers that side.

Yes, on qualifying income, if it is a qualifying free zone person; other income is taxed at 9%. The conditions include adequate substance in the UAE, earning qualifying income, not electing to be taxed at the regular rates, transfer pricing compliance and any conditions the Minister sets (UAE Corporate Tax Law Art 3(2) and Art 18(1)).

When is the UAE corporate tax return due for a Dubai company?

Within nine months after the end of its tax period (UAE Corporate Tax Law Art 53(1)). For a financial year ended 31 December 2025, the Federal Tax Authority’s deadline was 30 September 2026.
