What the Companies Ordinance requires

Every Hong Kong company must have a company secretary. An individual secretary must ordinarily reside in Hong Kong, and a corporate secretary must have its registered office or a place of business in Hong Kong. In a private company with a single director, that director cannot also be the secretary, and nor can a company whose sole director is that same person.

If a company has no secretary, the Registrar can direct it to appoint one; ignoring the direction is an offence with a level 6 fine plus HK$2,000 a day. A change of secretary is filed on Form ND2A within 15 days.

Annual Return and AGM deadlines

A private company files its Annual Return (NAR1) within 42 days after each anniversary of its incorporation. The fee is HK$105 on time. Late fees rise with the delay, and the Registrar cannot extend the deadline or waive them:

FiledFee
Within 42 daysHK$105
After 42 days, up to 3 months lateHK$870
More than 3 and up to 6 months lateHK$1,740
More than 6 and up to 9 months lateHK$2,610
More than 9 months lateHK$3,480

Late delivery is also an offence, with a fine of up to HK$50,000 plus HK$1,000 a day.

A private company holds its AGM within 9 months after the end of its accounting reference period. It does not need one if everything an AGM would do is done by written resolution, if it has a single member, or if it is dormant. Members can also dispense with AGMs by a unanimous resolution, filed with the Registrar within 15 days.

Significant controllers register and TCSP licensing

Non-listed Hong Kong companies must keep a significant controllers register in Hong Kong, open to law enforcement officers, and appoint a designated representative. Failing to do so is punishable by a level 4 fine (HK$25,000) plus HK$700 a day.

Since 1 March 2018, anyone carrying on a trust or company service business in Hong Kong, including acting as company secretary or providing a registered office, needs a TCSP licence from the Registrar of Companies. Operating without one carries a fine of HK$100,000 and six months’ imprisonment. Licences normally run for three years, and you can search any provider by name or licence number on the Companies Registry’s free TCSP register.

How to choose, whoever you pick

  • Search the provider on the Companies Registry’s TCSP register before you sign.
  • Compare like with like: is the HK$105 Annual Return fee included, is the significant controllers register kept, and is a registered address part of the price?
  • Ask who your company secretary is and who acts as designated representative.
  • Count the extras you will need each year, such as resolutions, director changes and Business Registration renewal.
  • If you also need accounting, an audit, profits tax filing or a work visa, check whether the same firm can do it.
