Hong Kong Company Incorporation Without Visiting: What the Hong Kong Side Needs (2026)

By Ray Tay · Published

Hong Kong company incorporation without visiting works in 2026: the Companies Registry lets non-Hong Kong residents incorporate, and an online filing normally produces the certificates within 1 hour. What a Hong Kong company needs locally is a company secretary who ordinarily resides in Hong Kong (or a Hong Kong body corporate) and a registered office in Hong Kong.

Can you incorporate a Hong Kong company without visiting Hong Kong?

Yes. The Companies Registry states that “Non-Hong Kong residents may incorporate a local limited company in Hong Kong”, and documents can be delivered through its e-Services Portal; online certificates “will normally be issued within 1 hour after delivery of the documents” (Companies Registry FAQ, checked 9 October 2026).

In Episode 6’s true story, a textile trader from Europe wanted a Hong Kong company to buy from factories in Taiwan and mainland China, next to a Singapore company for ASEAN mills. After one joint call with our Hong Kong and Singapore teams, one checklist and one set of documents, both companies were incorporated the day after we had everything, before he booked a flight.

What does the application need to get right?

Every particular, first time. Form NNC1 must give the first directors, the company secretary and the registered office address, and the Registry says “An incomplete form will render the form unsatisfactory and the application for incorporation will be rejected”. Fields that do not apply read “Nil” or “N.A.”, never blank.

Who must be based in Hong Kong?

The company secretary, not the directors. “If the company secretary is a natural person, he or she must ordinarily reside in Hong Kong”, and “There is no requirement under the Companies Ordinance that a director must be a Hong Kong resident.” At least one director must be a natural person, and a sole director cannot also be the company secretary. The registered office, the address for official notices and company records, must be in Hong Kong.

How much does Hong Kong company incorporation cost in 2026?

HK$3,895 in government fees online: HK$1,545 to the Companies Registry (fees), plus HK$2,200 business registration fee and HK$150 levy for a one-year certificate, because every incorporation is also an application for business registration (IRD fee table, 2026/27, checked 9 October 2026). If an online application fails, HK$1,280 is refundable; the HK$265 lodgment fee is not.

What happens after the certificates arrive?

  • Form NNC3 within 15 days from any first director who did not sign the consent in Form NNC1.
  • Business particulars within 1 month of starting business, to the Business Registration Office.

Then the annual cycle starts: the two-country compliance calendar (Episode 5) puts the Hong Kong dates next to Singapore’s. A bank account is a separate step that follows each bank’s own checks. Payments with a Singapore sister company need planning first, because Singapore and Hong Kong have no comprehensive tax treaty (Episode 1).
