Malaysia services
Corporate services for Malaysian companies.
Incorporation, licensed company secretary, accounting, tax and immigration — delivered by VIVOS (M) Sdn. Bhd. and priced as a fixed setup fee plus a fixed annual fee.
Company incorporation
We incorporate Sendirian Berhad (Sdn. Bhd.) companies for local and foreign owners, including wholly foreign-owned structures and Malaysian subsidiaries of overseas groups. Before we file, we check that your intended business activity is one a foreign-owned company may carry on, and that the activity codes you register under will support the licences and work passes you will need later.
- Name search, reservation and SSM incorporation under the Companies Act 2016
- Constitution drafting where the default provisions are not suitable
- Resident director arrangements where no proposed director resides in Malaysia
- Registered office address and statutory record keeping
- Share structures for joint ventures, founder vesting and incoming investment
- Branch and representative office registration for existing foreign companies
Licensed company secretary
Every Sdn Bhd must appoint a licensed company secretary within 30 days of incorporation. We act in that capacity and keep the statutory record in a state that will survive a bank review, an audit or a due diligence exercise.
- Named licensed secretary and statutory registers
- Board and shareholder resolutions, minutes and AGM administration
- Annual returns and all SSM filings
- Share transfers and allotments, capital changes, director and shareholder changes
- Takeover of records from an outgoing secretary, including remediation of gaps
Accounting, audit liaison and tax
Malaysian companies generally require audited financial statements, so the bookkeeping needs to be audit-ready rather than merely complete. We prepare accounts on that basis and manage the auditor relationship so year-end does not become a scramble.
- Bookkeeping and monthly or quarterly management accounts
- Audit preparation and liaison with the appointed auditor
- Corporate tax computation, estimates and filing
- Sales and Service Tax registration and returns where applicable
- Payroll, EPF, SOCSO and EIS administration
- Reporting packs for a Singapore or Hong Kong parent, including consolidation support
Employment Pass and immigration
Bringing foreign staff or founders into Malaysia requires the company itself to be eligible before any individual application can succeed — paid-up capital, the right activity registration and, in some cases, sponsorship registration with the relevant authority. We sequence that correctly instead of filing an application that will be rejected on the company’s facts.
- Employer and sponsorship registration
- Employment Pass applications, renewals and cancellations
- Dependant passes for spouses and children
- Advice on paid-up capital and structural prerequisites before you commit to a hire
Banking and cross-border structuring
A Malaysian entity inside a regional group raises questions a bank will ask: who ultimately owns it, why the money moves the way it does, and whether the intercompany arrangements are documented. We prepare that file, and we design the structure with those questions in mind.
- Corporate bank account opening support and documentation
- Group structure charts and beneficial ownership records
- Malaysian subsidiaries under Singapore, Hong Kong or UAE holding companies
- Group reorganisations, share transfers and entity rationalisation
