Services
Everything a company needs to exist, comply and move.
Seven practice areas across four jurisdictions, delivered by one team on one engagement. Most clients start with one service and end up using several.
Company incorporation
We form operating companies, holding companies, regional headquarters and special-purpose vehicles in Singapore, Malaysia, Hong Kong and the UAE. That includes the structures most providers find awkward: foreign-owned companies that need a locally resident director, multi-tier holding chains, corporate shareholders in jurisdictions that trigger extra bank diligence, and entities being set up to receive an investment that has already been agreed.
- Name reservation, constitution and incorporation filing
- Nominee and resident director services where the law requires one
- Registered office and correspondence address
- Share structure design, including multiple classes and founder vesting
- Branch and representative office registration for existing foreign companies
Corporate secretarial and compliance
Once a company exists, someone has to keep it in good standing. We act as named company secretary and maintain the statutory record so that a due diligence exercise, a bank review or a sale process does not turn into an archaeology project.
- Named company secretary in Singapore, Malaysia and Hong Kong
- Statutory registers, including registers of members, directors and controllers
- Board and shareholder resolutions, minutes and AGM administration
- Annual returns and registry filings
- Share transfers, allotments, capital reductions and constitutional amendments
- Director and shareholder changes, including exits of minority holders
Immigration and work passes
Work pass outcomes turn on how an application is framed, not only on whether the candidate qualifies. We assess eligibility honestly before filing, position the application against the current framework, and handle appeals where a first application has been rejected.
- Singapore Employment Pass, including COMPASS assessment
- ONE Pass, EntrePass and S Pass applications
- Dependant’s Pass and Long-Term Visit Pass applications
- Renewals, appeals and cancellations
- Permanent residence advisory, including the PTS scheme
- Malaysia Employment Pass and UAE residence visa support
Our Singapore practice holds a Ministry of Manpower Employment Agency Licence (24S2425), which is required to handle work pass applications on a client’s behalf.
Accounting and tax
We keep the books, close the year and file the returns — and we make sure the numbers tell a story a bank or an investor can follow.
- Bookkeeping and management accounts, including Xero setup and migration
- Statutory financial statements and XBRL preparation
- Corporate tax computation and filing
- GST and SST registration and returns
- Payroll and statutory contributions
- Group consolidation and audit liaison
Licensing and regulatory
Some businesses cannot start trading on incorporation alone. We prepare and manage sector licence applications, and we tell you at the outset whether the licence is realistic on your facts and how long it is genuinely likely to take.
- Financial services and payment-related licensing and advisory
- Travel, education, food and employment-sector licences
- Regulatory correspondence and remediation
- AML and KYC policy documentation and risk assessments
Banking and structuring support
This is where a banking background earns its keep. A corporate account application succeeds or fails on whether the bank can understand the business, the money and the people behind it. We prepare the file the way a reviewer needs to read it.
- Corporate account opening facilitation and introductions
- Business profile, source-of-funds and source-of-wealth narratives
- Group structure charts and beneficial ownership documentation
- Responses to bank due diligence and periodic review requests
- Holding structure and cross-border group design
Business advisory
The work that does not fit a service catalogue: market entry planning, shareholder arrangements, restructuring an entity that has outgrown its original form, and second opinions on advice a client has already received.
- Market entry and jurisdiction selection
- Shareholders’ agreements and joint venture structuring, with counsel where needed
- Business transfers, share sales and minority exits
- Group reorganisation and entity rationalisation
- Provider switching, including taking over a neglected statutory record
How we engage
How are fees structured?
Nearly always as a fixed fee for the setup or project, plus a fixed annual fee for ongoing compliance. We quote both before you engage us, so year two is not a surprise. Hourly billing is the exception, used only where the scope genuinely cannot be defined in advance.
Can you take over from our current provider?
Yes, and we do it regularly. We handle the resignation and appointment filings, obtain the statutory records from the outgoing provider, and audit what we receive — incomplete or out-of-date registers are common and are much cheaper to fix before a transaction than during one.
What do you need from me to start?
For a quote: the jurisdiction, the shareholders and their residency, and what the company will actually do. For onboarding: identity and address documents for each director, shareholder and beneficial owner, plus corporate documents for any corporate shareholder. We will send a precise list once the scope is agreed.
Do you advise on which services we actually need?
Yes, and part of that is telling you what you do not need. Many new companies are sold services they will not use for two years. We would rather scope the minimum that keeps you compliant and add to it when the business changes.
Get a scope and a fixed fee.
Tell us the jurisdiction, the shareholders and what the company will do.
